This ONEACCESS BELGIUM NV, Geldenaaksebaan 335 3001 Heverlee, hereinafter called ONEACCESS, License Agreement is a legal Agreement between you (either an individual or a single entity, hereinafter called LICENSEE) and ONEACCESS. The file you can download is referred to hereinafter as the Software. By installing, copying or otherwise using the Software you agree to be bound by the terms of this License Agreement. If you do not agree to the terms of this Agreement, you are not authorised to use this Software.

 

The Software is protected by Copyright laws and international copyright treaties. The Software is licensed.

 

1. LICENSE

 

ONEACCESS hereby grants to LICENSEE a non exclusive non-transferable right to use and Copy the Software solely in accordance with the terms and conditions contained in this Agreement. The use and copy of the Software is limited to internal purposes. Copying of the Software is limited to making copies for backup and archival purposes.

 

 

The term of this Agreement is indefinite.

 

LICENSOR is entitled to terminate this Agreement in case of major violation by LICENSEE of any of its obligations under this Agreement. In case of such termination LICENSEE must destroy all copies of the Software.

 

 

The Software is the sole property of LICENSOR. All title and copyrights in and to the Software and any copies thereof are owned by LICENSOR or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the Software is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This Agreement grants you no rights to use such content.

 

LICENSEE represents and warrants that the Software shall be used internally only and solely for its business and commercial purposes and in a careful and proper manner and LICENSEE shall follow any specifications or recommendations of LICENSOR with respect to the operation and maintenance of the Software. Licensee is not allowed to distribute copies of the Software to third parties. Licensee is not entitled to reverse engineer, decompile or disassemble the Software except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

 

4. WARRANTY - LIABILITY

 

Because the Software is licensed free of charge, there is no warranty for the Software, to the extent permitted by applicable law. Except when otherwise stated in writing the LICENSOR provides the Software "AS IS" without warranty of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantibility and fitness for a particular purpose. The entire risk as to the quality and performance of the Software is with LICENSEE.

 

In no event shall LICENSOR be liable for any special, incidental indirect, or consequential damages whatsoever (Including without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if LICENSOR has been advised of the possibility of such damages.

 

5. GENERAL

 

This Agreement shall be deemed to have been executed and entered into in BELGIUM and shall be construed, performed and enforced in all respects in accordance with the laws thereof.

 

If any provision of this Agreement is declared to be invalid under any applicable status or rule of law, it is agreed that such invalidity shall not affect the remaining portions of this Agreement.
